Terms of Service
Last updated 6 October 2026
These terms set out the agreement for using Notabl, including who owns the content in a workspace, what a client approval means, how fees and cancellation work, and the limits of our responsibility.
1.These terms and who they bind
These terms form a binding agreement between you and FoundersFlow trading as Notabl, a business based in the United Kingdom. By creating an account, opening a client portal link or using the service in any way, you agree to them.
If you accept these terms for a company, you confirm you have authority to bind that company, and "you" means that company.
Notabl is provided for business use. Consumer cancellation rights do not apply to business customers.
2.What the service does
Notabl is a cloud workflow platform for capturing content ideas, drafting posts, obtaining client approval and recording the date a post is due to go live. It includes agency accounts, private solo workspaces, client portal links, image and carousel uploads, voice note capture with automated transcription, and AI drafting assistance.
Notabl does not publish to social networks on your behalf unless a publishing feature is explicitly enabled on your account, and it is not a legal, financial or marketing advisory service.
3.Accounts and access
You must give accurate details, keep your sign-in credentials confidential and tell us promptly about any unauthorised use. You are responsible for everything done under your account.
Client portal links grant access without a password. You decide who receives a link and you are responsible for distributing it safely. Ask us to reissue a link if it may have been exposed.
Agency accounts and solo workspaces are deliberately separate. We do not link them, and content never crosses between them.
4.Ownership of content
You and your clients keep full ownership of everything you put into Notabl: ideas, notes, links, captions, images, carousels, voice recordings, transcripts and brand materials. Clients retain all copyright and moral rights in the material they submit, and in the finished posts produced from it, as agreed between the client and their agency.
You grant us a limited, non-exclusive licence to host, store, copy, transcribe, display and transmit that content solely so we can operate the service for you. That licence ends when the content is deleted.
We own the Notabl platform: the software, design, brand, workflows and documentation. Nothing here transfers any of it to you. You may not copy, resell, reverse engineer or build a competing product from the service.
5.Approvals and your responsibility for what goes live
When a client approves a draft, they confirm the content is accurate, that they hold or have cleared the rights in any material used, that it meets any regulatory or professional rules applying to their industry, and that the agency may schedule or publish it.
Notabl records approvals, declines and change requests as an audit trail. That record is evidence of what was agreed, but we are not a party to any agreement between an agency and its client and we do not review or approve content ourselves.
You remain solely responsible for what you publish, including advertising, financial promotion and disclosure rules.
6.AI features and transcription
Voice transcription and AI drafting are automated and can be inaccurate. All output is a draft for a person to check before use. Do not rely on it without human review.
You must not use AI features to generate unlawful, deceptive, infringing or harmful content, and you must not submit personal data you have no right to process.
7.Acceptable use
You must not use Notabl to store or share unlawful, defamatory, infringing, hateful or deliberately misleading material; to upload malware; to probe, overload or bypass our security or access controls; to scrape the service; or to impersonate anyone.
We may suspend or remove content and suspend accounts where we reasonably believe this clause has been breached, and will tell you why where we lawfully can.
8.Fees, renewal and cancellation
Where a plan is paid, fees are stated when you subscribe and are charged in advance for each billing period. Unless stated otherwise, fees exclude VAT, which is added where applicable.
Paid plans renew automatically for successive periods until cancelled. You may cancel at any time and will keep access until the end of the period you have paid for. Fees already paid are non-refundable except where the law requires otherwise.
If payment fails, we may suspend access after giving notice. We may change prices with at least 30 days' notice before a renewal.
Free, pilot and trial access may be offered on stated terms and may be changed or withdrawn on reasonable notice.
9.Availability, support and changes
We aim to keep Notabl available at all times but do not guarantee uninterrupted service. Planned maintenance will be notified where practical.
Support is provided by email at support@notabl.net during UK business hours.
We continue to develop the service and may add, change or retire features. We will not materially reduce core functionality of a paid plan without reasonable notice.
10.Third-party platforms
Notabl depends on services we do not control, including social networks, cloud hosting and AI providers. We are not responsible for their availability, policy changes, algorithm changes, account restrictions or the reach and performance of anything you publish.
11.Data protection
Each party will comply with applicable data protection law. Where we process personal data on your behalf, we do so as your processor under our Privacy Policy, which forms part of these terms and sets out the sub-processors we use and the safeguards applied to international transfers.
12.Warranties and disclaimers
We provide the service with reasonable skill and care. Beyond that, and to the fullest extent the law allows, the service is provided as is, without further warranties, including any implied warranty that it will be error free or fit for a particular purpose.
13.Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited.
Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill, followers, reach, anticipated savings or business opportunity.
Subject to the above, our total liability arising from or in connection with these terms is limited to the total fees you paid us in the twelve months before the event giving rise to the claim, or £100 where no fees were paid.
You are responsible for keeping your own copies of important content. We are not liable for loss of content you have not backed up.
14.Suspension and termination
You may close your account at any time. We may suspend or terminate access if you materially breach these terms, if payment remains unpaid after notice, or if required by law.
On termination your right to use the service ends. You may export your content before closing the account, and we will delete it in line with the retention periods in our Privacy Policy.
15.Refunds and cancellation policy
Notabl is a business service. Subscriptions are billed in advance and you can cancel at any time with no penalty. When you cancel, you keep access until the end of the period already paid for, and you will not be charged again.
Fees for a billing period that has started are non-refundable, including for partial months, unused allowances or downgrades. We will refund charges made in error, such as a duplicate payment or a charge after a confirmed cancellation.
If you subscribe as a consumer, you ask us to give you access straight away and agree that you lose your 14-day right to cancel under the Consumer Contracts Regulations 2013 once access begins. This does not affect your statutory rights if the service is faulty.
To ask about a refund, email support@notabl.net within 30 days of the charge.
16.Deleting your account
You can permanently delete your account at any time from Agency settings or the Solo Studio menu. Deleting removes your workspace, clients, notes, voice notes and drafts. Cancel any paid plan first so you are not billed again. Deletion cannot be undone.
17.General
If any part of these terms is unenforceable, the rest continues to apply. A delay in enforcing a right is not a waiver of it. You may not transfer your rights without our consent; we may transfer ours as part of a business reorganisation.
These terms, together with our Privacy Policy, are the entire agreement between us about the service. No third party may enforce them.
We may update these terms; we will notify account holders by email of material changes at least 30 days before they take effect, and continued use after that date means acceptance.
These terms and any dispute relating to them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
